These terms govern the use of the ZeSail platform operated by Zedinga LLC, a company registered in the United States. By accessing or using our Platform, you agree to these terms. ZeSail is a two-tier SaaS platform for the yacht and gulet charter industry: an operator management dashboard (B2B) and a marketplace (B2C).
• "Platform": The ZeSail web application and all related services • "Operator": Charter businesses that register boats/fleets on the Platform • "Customer": Users who search for and request charter services through the marketplace • "Guest": Charter passengers who access the guest portal via token-based authentication • "Boat Owner": Owners of vessels not owned by the operator • "Crew": Personnel serving on vessels • "APA": Advance Provision Account — an advance fund for onboard expenses during a voyage • "Tenant": Each operator business in the multi-tenant architecture
• You must be at least 18 years old to create an account • You must provide accurate and current information during registration • You are responsible for account security; do not share your password with third parties • Your account will not be fully active until email verification is completed • The Platform reserves the right to suspend accounts if suspicious activity is detected • Each operator account is isolated as a single tenant
Charter operators agree to the following terms: • The operator is responsible for keeping boat information accurate and up to date • The validity of insurance, registration, and safety certificates is the operator's obligation • Booking confirmations are binding; operators must fulfill confirmed bookings • Preventing double bookings through channel manager (iCal) integrations is the operator's responsibility • APA account management and reporting must be performed accurately • Maintaining up-to-date Planned Maintenance System (PMS) records is the operator's responsibility • Platform commission rates are applied based on the tariffs in effect during the billing period
Customers agree to the following terms: • Charter inquiries are not binding offers; operator approval is required • Cancellation terms apply after a deposit payment is made • Reviews and ratings must be based on genuine experiences; misleading content is prohibited • Personal documents (passports, etc.) shared via the guest portal are stored securely • Loyalty program points expire if not used within 12 months • Corporate charter requests (RFPs) are subject to special terms
• All payments through the Platform are processed via secure payment infrastructure • Operators collect charter fees directly from customers; the Platform invoices its commission • APA account expenses are settled and reported at the end of the voyage • Refund terms are subject to the agreement between operator and customer • The Platform may mediate payment disputes but is not a party to them • Prices are displayed in the relevant currency (EUR, USD, TRY, GBP)
• The ZeSail brand, logo, design, and software belong to ZeSail • Operators represent that they hold the copyrights to uploaded boat photos and content • The Platform holds a license to use operator content solely for service delivery and marketing purposes • Exclusive rights cannot be claimed over AI-generated descriptions and translations • Users may not copy or reproduce data obtained from the platform for commercial purposes
• ZeSail is not a party to the charter agreement between operator and customer • The Platform does not guarantee the physical condition, safety, or suitability of vessels • The Platform cannot be held responsible for losses due to weather conditions, natural disasters, or force majeure • The Platform does not guarantee uninterrupted, error-free operation; service may be temporarily suspended during maintenance • The Platform is not responsible for outages of third-party services (payment, email, maps, etc.) • In any case, the Platform's total liability is limited to the Platform fees paid by the user in the last 12 months
• Users may close their accounts at any time • The Platform may terminate accounts with prior notice in case of terms violations • Active bookings are not affected when an account is closed; existing obligations remain valid • Data is permanently deleted within 30 days after account deletion (except for legal retention obligations) • Closing an operator account also affects associated crew and boat owner accounts
ZeSail reserves the right to modify these terms of service with prior notice. Significant changes will be communicated via email. Continued use of the platform after changes constitutes acceptance of the new terms.
These terms are governed by the laws of the United States. Disputes will be resolved in US courts.
